Slowbook End-User Licence Agreement

1. Agreement and licensor

This End-User Licence Agreement (“Agreement”) is between Metah Design Statégique Inc., located at [YOUR STREET ADDRESS, CITY, PROVINCE, POSTAL CODE, CANADA] (“Licensor”), and the company or authorized employee using Slowbook (“User”). By installing or using Slowbook, the User accepts this Agreement.

2. Purpose and licence

Slowbook is a locally installed internal business application that imports information from Excel or CSV files and creates estimates in QuickBooks Online. Subject to this Agreement, the Licensor grants the User a limited, non-exclusive, non-transferable, revocable licence to install and use Slowbook solely for authorized internal business purposes.

3. Authorized QuickBooks access

The User must be authorized by their company to access the connected QuickBooks Online account and its data. The User is responsible for protecting company devices and credentials, selecting the correct QuickBooks company, and complying with company policies and applicable laws.

4. Review of estimates

Slowbook assists with data import but does not replace accounting review. The User remains responsible for reviewing every customer, product or service, quantity, price, tax code, date, description, total, and other estimate detail before using, approving, or sending the estimate. QuickBooks Online remains the system of record.

5. Restrictions

Except where applicable law expressly permits otherwise, the User may not:

• copy, distribute, sublicense, rent, lease, resell, or commercially exploit Slowbook;
• reverse-engineer, decompile, disassemble, bypass, or attempt to derive its source code;
• remove proprietary notices or security controls;
• use Slowbook to access a QuickBooks account without authorization; or
• use Slowbook for an unlawful, fraudulent, or abusive purpose.

6. Availability and warranty

Slowbook is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the Licensor disclaims all express, implied, statutory, and collateral warranties, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. Operation may depend on the User’s computer, network, Intuit services, QuickBooks configuration, and third-party software. The Licensor does not promise that Slowbook will always be available or compatible with future third-party changes.

7. Limitation of liability

To the maximum extent permitted by law, the Licensor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, business, goodwill, or opportunity arising from Slowbook or this Agreement. The Licensor’s total aggregate liability for all claims relating to Slowbook will not exceed the amount paid specifically for the User’s use of Slowbook during the twelve months before the event giving rise to the claim. Nothing in this Agreement excludes liability that cannot lawfully be excluded.

8. Termination

The User may terminate use at any time by disconnecting QuickBooks, uninstalling Slowbook, and deleting locally stored configuration. The Licensor may suspend or terminate the licence if the User breaches this Agreement or is no longer authorized to use the application. On termination, the User must stop using Slowbook and remove all permitted copies. Provisions that by their nature should survive will remain in effect.

9. Governing law

This Agreement is governed by the laws of the Province of [YOUR PROVINCE] and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in [YOUR PROVINCE], Canada will have exclusive jurisdiction unless applicable law requires otherwise.

10. General and contact information

If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. This Agreement is the entire agreement concerning the licence to Slowbook unless a written agreement signed by the Licensor states otherwise.
